Terms and Conditions


1. General Information

Texponto, Lda (VAT PT514906952), headquartered at Travessa do Séquito B, Lote B7, 4805‑034 Brito, Guimarães – Portugal, specialises in high-quality apparel production and customization, all made in Portugal.

2. Scope of Application

These Terms & Conditions govern all commercial transactions between Texponto and its customers. By paying for an order, the customer confirms they have read, understood, and fully accepted these terms, with no further signature required. Any exceptions must be approved in writing by Texponto.


3. Quality Commitment

Texponto prioritizes material quality, working with local suppliers to ensure durability, safety, and fair working conditions. Whenever possible, certified materials and suppliers are used.


4. Project Development: Tech Pack

Production begins with a Tech Pack, outlining all technical and visual specifications. The customer must provide:

  • Billing and shipping details
  • Quantities by model, color, and size
  • Technical details of customizations (position, dimensions, colors, technique)
  • High-resolution vector files
  • Packaging and accessory preferences

Tech Pack approval by the customer is mandatory before quoting. It is binding—any issues not included in it will not be covered.


5. Quotations

Quotes are valid for 15 days and based solely on the final, approved Tech Pack. Pricing includes item costs, customization, templates, accessories, customs fees (for exports), shipping, and additional services.

Non-EU customers must check their local import taxes and duties, which are not covered by Texponto.

Pattern or customization setup fees apply only once. They are waived for repeat orders without changes.


6. Pricing and Tax

Prices are in Euros (€) and exclude VAT or additional charges unless otherwise stated.

  • EU customers with valid VAT number in VIES: VAT exempt
  • EU customers without valid VIES VAT: VAT applies based on destination country
  • Non-EU customers: VAT exempt; import fees and customs clearance, plus €50 administrative fee in Portugal, apply


7. Orders and Payment

Orders are confirmed once the Tech Pack is approved, quote accepted, and payment received.

Payment methods:

  • Bank transfer
  • PayPal (additional fee may apply)

Standard terms require 100% payment upon order confirmation. Alternatives may be negotiated case-by-case with management approval.

Production begins only after payment. In case of installment payment, if the final balance is unpaid 30 days after production completes, items are deemed abandoned, and the initial payment is retained as compensation.


8. Production and Timelines

Average production time is 25 working days after payment. This may change due to project complexity, material availability, or logistics issues. Customers will be informed.

Shipping time is separate.


9. Order Changes

Once the Tech Pack is approved and production begins, changes are not allowed. If exceptional modifications are approved, additional costs and timeline revisions may apply.


10. Transportation and Logistics

Orders are sent Ex-Works. Shipping can be arranged by Texponto or the customer.

Texponto is not liable for delays, damages, or losses during transit. Additional insurance is available upon request.


11. Delivery and Returns

If the order is not received and returned to Texponto, return shipping costs are the customer's responsibility.

Incorrect delivery details incur extra fees. In case of loss, Texponto will investigate before proposing solutions.

Non-defective items cannot be returned.


12. Complaints and Issues

Customers must contact Texponto upon detecting discrepancies. An incident ticket will be opened, and affected products should be set aside for analysis.

If Texponto is at fault, repair costs will be covered or a credit note issued.

Custom items made per Tech Pack are not returnable. Failure to respond to additional information requests will close the incident.


13. Washing, Finishing & Tolerances

Unwashed garments may shrink up to 5%; fleecy items may shed lint initially. Washing service available on request. Declining the service means acceptance of associated risks.

Acceptable tolerances:

  • ±1.5 cm in measurements or customization placement
  • ±5% in quantity, consistent with industry norms; invoices or credits adjust for differences.


14. Intellectual Property

Customers are solely responsible for IP rights of provided graphics. Texponto does not verify or assume liability for trademark, copyright, or patent infringement.

Technical files and molds belong to the customer and can be provided on request.


15. Liability

Texponto is not responsible for damages from improper use. Customers must follow care instructions.

Natural variations in color, texture, or small imperfections in natural fiber products are not considered defects.


16. Subcontracting

Texponto may subcontract specific production steps, ensuring all partners comply with quality and ethical standards.


17. Breaches

Customer non-compliance may result in order suspension or cancellation without compensation or notice.

Complaints must be submitted within 30 days of delivery.


18. Governing Law & Jurisdiction

These Terms are governed by Portuguese law. Parties should attempt out-of-court resolution; if unsuccessful, the competent court is in the district of Texponto’s headquarters.


19. Amendments

Texponto reserves the right to modify these Terms at any time for legal, operational, or commercial reasons. Changes will be communicated via website or email. Continuing business implies acceptance of the new terms.
